Musk Takes Stand in OpenAI Trial That Could Reshape AI Governance

SAN FRANCISCO — Tesla CEO Elon Musk testified Monday in his federal lawsuit against OpenAI and CEO Sam Altman, alleging the company violated its nonprofit founding mission, according to ABC7 San Francisco.

The federal civil trial centers on Musk, an early backer and co-founder of OpenAI, who alleges the organization abandoned its mission as a nonprofit dedicated to developing AI safely for the benefit of humanity. The case pits Musk against Altman over the future direction of one of the world’s largest AI companies.

At the center of the dispute is OpenAI’s transition from its original nonprofit structure to a capped-profit model beginning in 2019, and its more recent moves toward full for-profit conversion. Musk has argued that this shift constitutes a breach of the organization’s founding principles and his original charitable contributions.

A ruling in Musk’s favor could establish new legal boundaries around nonprofit-to-for-profit conversions in the technology sector, potentially affecting how AI organizations structure themselves and the fiduciary duties owed to founding donors.

OpenAI has maintained that its structural changes were necessary to attract the capital required to pursue its mission of building artificial general intelligence safely, arguing that the nonprofit model was insufficient to fund the computational resources required for frontier AI development.

The trial is being watched across the AI industry, where several organizations have adopted hybrid structures that blend nonprofit governance with for-profit operations. The outcome could influence regulatory approaches to AI corporate governance at both the state and federal level.

Musk testified in person in proceedings that have worked through the federal court system since early 2024. The trial is expected to continue in the coming weeks.
