Musk Sought Settlement With OpenAI Days Before Trial

SAN FRANCISCO — Elon Musk sought to settle his lawsuit against OpenAI just days before the two sides were set to face off in court, according to a new court filing reported by KESQ on Saturday.

The filing reveals behind-the-scenes negotiations in a legal battle over OpenAI’s conversion from a nonprofit to a for-profit entity.

Details of the proposed settlement terms were not immediately available from the filing. The overture comes after months of public criticism by Musk of his former venture.

Musk, who co-founded OpenAI in 2015 and departed its board in 2018, has alleged that the organization abandoned its original nonprofit mission to develop AI for the benefit of humanity. His lawsuit challenges the legality of OpenAI’s corporate restructuring, which has positioned the company at a valuation exceeding $300 billion.

OpenAI has maintained that its transition to a for-profit structure is necessary to raise the capital required to pursue artificial general intelligence safely and competitively. The company has argued that Musk’s claims lack legal standing and are motivated by competitive interests through his own AI venture, xAI.

The case touches on AI industry governance, nonprofit corporate law, and the future structure of organizations developing advanced AI systems. A trial outcome could set precedent for how AI labs balance public-benefit missions with the capital requirements of frontier AI development.

Neither Musk’s legal team nor OpenAI immediately responded to requests for comment on the filing.
